Notes forming part of the standalone financial statements
NOTE 46 - SCHEME OF AMALGAMATION AND ARRANGEMENT OF BELLFLOWER PROPERTIES PRIVATE LIMITED:
During the year, the National Company Law Tribunal had approved the scheme of amalgamation (‘The Scheme’) between the Company and
Bellflower Properties Private Limited (“BPPL”), a wholly owned subsidiary of the company. The Scheme became effective on March 3, 2020
pursuant to completion of all regulatory formalities. In accordance with Appendix C of Ind AS 103 “Business combinations of entities under
common control”, the financial statements of the Company for the previous financial year 2017-18 have been restated with effect from April
1, 2017 (being the earliest period presented). Accordingly the carrying value of BPPL as appearing in the consolidated financial statements
has been considered effective April 1, 2017. Below are the details of the same:

The Company has recognized H153 Lakhs as capital reserve and increased retained earnings by H1,598 Lakhs as at April 1, 2017. The net loss for
the year ended March 31, 2018 of H18 Lakhs has also been debited to the retained earnings as at April 1, 2018. The impact on the standalone
statement of profit and loss of the Scheme is not material in the current and previous year.
